Terms of Service

These Terms of Service ("Terms") govern access to and use of the Oplerra platform and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.


1. The Services

Oplerra provides a cloud-based platform for managing field operations, projects, assets, safety, compliance, and related workflows.

The Services may evolve over time. Oplerra may update, improve, or modify features provided that such changes do not materially reduce the core functionality of the Services.


2. Accounts and Access

  • Customers are responsible for maintaining the confidentiality of account credentials.
  • Access to the Services is limited to authorised users associated with the Customer account.
  • Customers must ensure that users comply with these Terms.

Oplerra may suspend access where required to protect the security or integrity of the Services.


3. Acceptable Use

Customers and users must not:

  • use the Services for unlawful purposes;
  • attempt to access data belonging to other customers;
  • interfere with or disrupt the Services;
  • introduce malicious code or attempt to bypass security controls.

Oplerra may investigate and take appropriate action in response to violations of this section.


4. Customer Data

  • Customers retain ownership of all data uploaded to or generated through the Services ("Customer Data").
  • Customers grant Oplerra a limited licence to Process Customer Data solely to provide and support the Services.
  • Processing of Personal Data is governed by the Oplerra Data Processing Addendum.

5. Security and Privacy

Oplerra implements reasonable technical and organisational measures to protect Customer Data, as described in the Oplerra Security Overview.

Oplerra's collection and handling of Personal Data is described in its Privacy Policy.


6. Fees and Payment

  • Fees, billing cycles, and payment terms are specified in an order form or subscription agreement.
  • Fees are payable in advance unless otherwise agreed.
  • Oplerra may suspend Services for non-payment following reasonable notice.

7. Third-Party Services

The Services may integrate with third-party services. Use of third-party services is subject to their respective terms.

Oplerra is not responsible for third-party services or their availability.


8. Intellectual Property

  • Oplerra retains all intellectual property rights in the Services.
  • Customers are granted a non-exclusive, non-transferable right to use the Services during the term of the agreement.

Customers must not copy, modify, or reverse engineer the Services except as permitted by law.


9. Confidentiality

Each party must protect the other party's confidential information and use it solely for purposes of performing under these Terms.


10. Suspension and Termination

Oplerra may suspend or terminate access:

  • for material breach of these Terms;
  • to comply with legal obligations; or
  • to protect the security or integrity of the Services.

Upon termination, access to the Services will cease and Customer Data will be handled in accordance with the Data Processing Addendum.


11. Disclaimers

The Services are provided on an "as is" basis to the extent permitted by law. Oplerra does not warrant that the Services will be uninterrupted or error-free.


12. Limitation of Liability

To the maximum extent permitted by law, Oplerra's liability is limited to the fees paid by the Customer in the twelve (12) months preceding the claim.

Oplerra is not liable for indirect, incidental, or consequential damages.


13. Indemnities

Customers agree to indemnify Oplerra against claims arising from misuse of the Services or violation of these Terms.


14. Governing Law

These Terms are governed by the laws of Australia, unless otherwise specified in an order form.


15. Changes to These Terms

Oplerra may update these Terms from time to time. Material changes will be communicated to Customers.
